Terms of Service

1. Acceptance of Terms

By creating an account, claiming a business listing, or using any services provided through MercerCounty.online and the other county directory websites operated by PA Counties Online (including any future county sites we may launch, collectively "the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Authority and Listing Accuracy

By creating or claiming a listing, you represent and warrant that:

• You are at least 18 years of age.
• You are authorized to act on behalf of, and to bind, the business you are listing.
• All business information you submit is accurate, current, and complete.

Listings containing intentionally false or misleading information may be removed without notice.

3. User Content and License

You retain ownership of all content you submit to the Service, including business descriptions, logos, photos, menus, and other materials ("User Content"). By submitting User Content, you represent that you own it or have the necessary rights to use it, and you grant PA Counties Online a non-exclusive, royalty-free, worldwide, transferable license to display, reproduce, format, and distribute your User Content in connection with operating and promoting the Service. This license continues for as long as your content remains on the Service and terminates when your content is removed.

We may use your business name, logo, and listing summary in marketing materials for the Service (for example, showcasing directory listings on social media or in promotional emails). If you do not want your listing used in promotional materials, you may opt out by contacting us.

4. Multi-County Listing Policy

Enhanced plan subscribers may list their business in multiple county directories. When selecting additional counties, you must adhere to the following:

• You may only select counties where your business genuinely provides services, makes deliveries, or has a physical presence.
• Selecting counties where you do not provide services is a violation of these terms and grounds for listing removal.
• Inaccurate county selections may negatively affect your business's visibility in search engines by sending conflicting local relevance signals. We do not guarantee any particular search engine ranking, placement, or lead volume as a result of using the Service.

We reserve the right to review and remove multi-county listings that appear to be inaccurate or that generate user complaints.

5. Vanity URLs

Vanity URLs are short, customizable links that redirect visitors to your listing page. Vanity URLs must not impersonate other businesses, contain offensive or misleading content, or infringe on trademarks. We reserve the right to revoke any vanity URL at our discretion.

6. Prohibited Content

You may not submit content that is misleading, defamatory, obscene, illegal, or constitutes spam. Listings promoting illegal activities or services will be removed immediately. Repeated violations will result in account termination.

7. Intellectual Property and DMCA

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, trademark, or other intellectual property rights, please contact us with: (a) a description of the copyrighted work or trademark you believe has been infringed, (b) the URL or location of the infringing content on the Service, (c) your contact information, and (d) a statement that you have a good-faith belief the use is not authorized.

We will review all valid complaints and may remove or disable access to infringing content at our discretion. Repeat infringers may have their accounts terminated.

8. Subscriptions and Billing

Paid plans (Featured and Enhanced) are billed monthly or annually through Stripe. By subscribing, you authorize recurring charges at the selected interval. All prices are listed in U.S. dollars. Applicable taxes (such as sales tax) may be added to your charges where required by law.

• Cancellation. You may cancel at any time through your portal dashboard. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the period expires.
• Refunds. Refunds are not provided for partial billing periods. Exceptions may be made at our discretion for duplicate charges, billing errors, or fraud.
• Price changes. We may change subscription pricing with at least 30 days' notice via email. Price changes take effect at the start of your next billing cycle after the notice period.
• Failed payments. If a payment fails, we may retry the charge and/or notify you to update your payment method. If payment remains unresolved after a reasonable grace period, your account may be downgraded to the free plan.
• Chargebacks. If you initiate a chargeback or payment dispute, we may suspend your listing and paid features while the dispute is under review.

9. Termination

We may suspend or terminate your account and listing if you violate these terms. You may cancel your paid subscription at any time through your portal dashboard. To request full deletion of your account and all associated data, please contact us.

Upon cancellation of a paid plan, paid enhancements (such as featured placement, multi-county listings, and vanity URLs) will be removed at the end of the current billing period. A basic directory listing with your business name and public information may remain visible unless you specifically request its removal.

Upon full account deletion, all listing data and User Content will be removed from all county directories.

10. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which describes the data we collect, how we use and store it, and your rights regarding your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Indemnification

You agree to indemnify, defend, and hold harmless PA Counties Online, its owners, operators, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) User Content you submit, (c) your violation of these terms, or (d) your violation of any third-party rights, including intellectual property or privacy rights.

12. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no guarantees regarding search engine rankings, website traffic, leads, or any other business outcomes resulting from your use of the Service.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

13. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee any specific level of uptime or availability (no SLA). We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control, including but not limited to internet outages, hosting provider failures, natural disasters, or other force majeure events.

14. Governing Law and Disputes

These terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions. Any legal action or proceeding arising out of or related to these terms or the Service shall be brought exclusively in the state or federal courts located in Mercer County, Pennsylvania, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email at least 15 days before the changes take effect. Your continued use of the Service after changes are posted constitutes acceptance of the updated terms.
